Terms of Service
Subscription and license terms for YLÄUXI. Effective 2026.
Agreement
These terms govern access to YLÄUXI software, the agent catalog, managed hosting where included, and related services. By subscribing, applying for Prestige, or executing an Enterprise license, you agree to these terms, the Data Processing Agreement, and any order form or statement of work that references them.
Subscription tiers
Solo, Elevate, Command, Sovereign, and Prestige are monthly or annual subscriptions. Usage thresholds, agent caps, and module access are defined on the tiers page. Overage billing applies as published. Tier changes take effect at the next billing cycle unless otherwise agreed in writing. Refund terms are in the Refund Policy.
Enterprise license
Enterprise is a perpetual software license with a defined support and update window, scoped by business audit. Pricing, SLA commitments, and infrastructure responsibilities are specified in your Enterprise agreement. Source code handoff terms are documented at execution.
Acceptable use
You are responsible for content, campaigns, and automations running on your instance. Detailed rules are in the Acceptable Use Policy. We may suspend access for material breach after notice where practicable.
AI agents, CONCIERGE & credits
Generative and monitoring agents consume credits and infrastructure resources as described on the tiers and add-ons pages. Outputs are produced from your configured brand context. You are responsible for reviewing all AI output before customer-facing, regulatory, or legal use. Read the full AI Disclosure.
If you deploy chatbots or automations to your end customers, you must disclose that they may interact with AI and maintain a privacy notice covering those interactions.
MUSE & CANVAS
MUSE virtual model roster and CANVAS generation are governed by the MUSE Terms and AI Disclosure. You warrant rights for custom talent uploads and comply with synthetic-media labeling obligations. Unauthorized use of MUSE roster assets outside your license may result in suspension and legal action — see MUSE Terms.
Intellectual property
YLÄUXI retains all rights in the software, agent catalog, MUSE roster assets, and documentation. You retain ownership of data and content you upload. Subject to your compliance with these terms, you may use AI outputs in your business operations. YLÄUXI may use aggregated, de-identified usage metrics to improve the Service.
Customer content & DMCA
You represent that you have rights to content you upload or generate for publication. Report copyright concerns to hello@ylauxi.com with sufficient detail for us to evaluate a takedown request.
Indemnification
You will defend and indemnify YLÄUXI against claims arising from your content, campaigns, MUSE uploads, chatbot replies to your customers, or violation of law — except to the extent caused by YLÄUXI's gross negligence or willful misconduct.
Disclaimer of warranties
The Service is provided "as is" and "as available." YLÄUXI disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI outputs may be inaccurate; monitoring agents may miss events.
Limitation of liability
To the maximum extent permitted by law, YLÄUXI's aggregate liability arising from the Service is limited to fees you paid in the twelve months before the claim. YLÄUXI is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits.
Governing law
These terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules. Courts in Delaware have exclusive jurisdiction unless otherwise specified in an Enterprise agreement.
Availability
Managed hosting targets provision within 60 minutes for standard tiers. Prestige includes the Service Level Agreement. Enterprise SLA commitments are specified in your agreement. Self hosted uptime is determined by infrastructure you operate.
Termination
You may cancel subscription tiers per billing settings. Export your data before cancellation. Enterprise termination and transition terms are defined in your license agreement.
